Independent Contractor Agreement

This Independent Contractor Agreement is to be provided to a business that you are engaging to provide services as an independent contractor (not as an employee) via their ABN or ACN. 

The Agreement includes company and contractor details; description of the services to be delivered; general operative provisions; reference to professional indemnity and public liability insurances required; equipment needed; duration of agreement; renewal options; obligations of the contractor (and the personnel engaged to provide the services); fees and expenses; taxation; other contract work; confidentiality; indemnity; dispute resolution; termination; and other general provisions.   

The Agreement can be used when your business wishes to engage the services of a corporate contractor who will engage nominated personnel to perform the contracted services. Having clear contract terms around the nature of the engagement will assist in the event a dispute arises. 

If you wish to engage a contractor who is not a corporate entity (for example, if you are looking to engage an individual as a sole trader or partnership) then this agreement will need to be amended - contact the Team at hello@workchapters.co to discuss. There are greater legal risks in contracting with non-corporate entities (including, but not limited to, ‘sham contracting’ risks if the individual should be engaged as an employee of your business). As such, you should obtain specific legal advice in relation to your specific requirements.
